Graphic Design Contract

1. Services

The Designer [ ilanalib.com and “ILANA LIB Creative Solutions” or Ilana Libman] agrees to provide the following graphic design services (the "Services"):

2. Compensation

The Client agrees to pay the Designer a total fee of $[indicated in the invoice] for the Services. The payment schedule is as follows:

• 50% upfront deposit: due within 24 hours from the invoice date.

• Remaining % upon completion: $[Remaining Amount] due on the work approval date.

3. No Refund Policy

All payments made by the Client to the Designer (ilanalib.com and “ILANA LIB Creative Solutions” or Ilana Libman) are non-refundable. This includes, but is not limited to, the upfront deposit and any progress payments. The Client acknowledges and agrees that they shall have no right to a refund of any amounts paid under any circumstances.

4. Revisions

The Client is entitled to a total of 9 revisions. Any additional revisions will incur an extra fee of a minimum of $50 per revision. Price may vary depending on the job size.

5. Intellectual Property Rights

Upon full payment of all fees owed, the Designer grants the Client the right to use the final deliverables for their intended purpose. The Designer retains the right to use the work for portfolio and marketing purposes.

6. Confidentiality

Both parties agree to keep confidential all written or oral information concerning the other party's business and affairs unless expressly authorized in writing.

7. Termination

Either party may terminate this Contract by providing written notice to the other party. In the event of termination by the Client, the Client agrees to pay for all work completed up to the termination date.

8. Limitation of Liability

The Designer shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the Services. The Designer's total liability under this Contract shall not exceed the amount of fees paid by the Client to the Designer.

9. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the state of New Jersey, without regard to its conflict of law principles.

10. Entire Agreement

This Contract constitutes the entire agreement between the parties and supersedes all prior agreements or understandings concerning the Services, whether written or oral.

11. Amendments

This Contract may only be amended or modified by a written agreement signed by both parties.

12. Acceptance

By forwarding the deposit to the designer and the designer accepting the deposit from the client, both parties agree to the terms and conditions outlined in this Contract.
